Terms of Service
1. Who we are and what these terms cover
These Terms of Service ("Terms") are an agreement between you and GexStrike LLC, the operator of the Top Stocks mobile application and the website at gettopstocks.com ("we", "us", "our"). By downloading or using the Top Stocks app, visiting this website, or purchasing any Top Stocks product or subscription (together, the "Service"), you agree to these Terms. If you do not agree, do not use the Service.
2. What Top Stocks is
Top Stocks is a mobile application that provides algorithm-generated rankings of stocks across seven indexes — the Nasdaq 100, S&P 500, Dow Jones 30, Russell 2000, ASX 200 (Australia), Nikkei 225 (Japan) and Global ADRs — updated daily after market close. The app also provides per-stock fundamental information and an interactive strategy backtest screen.
Top Stocks also offers an optional subscription service called Autopilot, which connects to your own Alpaca brokerage account and automatically rebalances it toward the strategy's targets on the US-listed indexes. Autopilot operates in paper-trading mode at launch — it does not trade real money unless and until live trading is enabled and you expressly opt in. We will update these Terms before any live-trading functionality is offered.
3. The $5.99/month "Top Stocks Data" subscription
"Top Stocks Data" is an auto-renewing monthly subscription priced at US$5.99 per month that unlocks the full rankings, the per-stock fundamentals tab, the interactive backtest screen and daily updates in the app.
- The subscription is billed monthly by Apple (App Store) or Google (Google Play), depending on your device, using the payment method registered with your store account. We do not receive or store your payment card details.
- It renews automatically each month until you cancel. Cancel anytime in your store account's subscription settings; access continues until the end of the current paid month. No partial-month refunds except as the store's own refund rules provide.
- The subscription is subject to the applicable app store's own terms, including its payment and refund rules. Refund requests must be directed to the store from which you subscribed.
- Entitlements are managed through RevenueCat and are tied to your store account. Restore-purchases is supported on devices using the same store account.
4. The $99/month Autopilot subscription
Autopilot is a recurring subscription priced at US$99 per month, sold through our website and billed by Stripe. It is not sold as an in-app purchase.
- Start. Your subscription begins on successful payment and renews monthly until cancelled.
- Cancellation. You can cancel anytime from the web portal or the app. Cancellation takes effect at the end of the current billing period: it stops future rebalances and all future billing, and the Service remains active until the end of the period you have already paid for.
- No partial-month refunds. We do not provide refunds or credits for partial months, except where required by applicable law.
- Payment processing. Card details are handled by Stripe and never touch our servers. By subscribing you also agree to Stripe's terms of service.
- Requirements. Autopilot requires you to connect your own Alpaca brokerage account (Section 6) and to grant us limited access via API keys (Section 7). Autopilot covers US-listed indexes only: Nasdaq 100, S&P 500, Dow Jones 30 and Global ADRs.
5. No investment advice
The Service provides impersonal, algorithm-generated rankings and market data for informational purposes only. Nothing in the app, on this website, or in any communication from us is investment advice, a recommendation, or an offer or solicitation to buy or sell any security. No adviser-client, broker-client, or fiduciary relationship is created by your use of the Service. Rankings are generated without regard to your financial situation, objectives, or risk tolerance. You should consult a licensed investment adviser before making investment decisions.
6. Your Alpaca account is your responsibility
Your brokerage account is your own. It is held at Alpaca Securities LLC ("Alpaca"), is governed by Alpaca's terms and agreements, and is not operated, custodied, or guaranteed by us. You are solely responsible for:
- opening, funding and maintaining the account, and for meeting Alpaca's eligibility requirements;
- determining whether the strategy and any resulting trades are suitable for you;
- monitoring the account and its activity;
- all tax consequences of activity in the account.
You can disconnect your Alpaca account from Autopilot at any time, in the app or directly with Alpaca. Disconnecting stops future rebalances but does not reverse trades already executed.
7. API key custody
To operate Autopilot you grant us limited access to your Alpaca account by providing Alpaca API keys. We treat those keys as follows:
- keys are stored encrypted at rest (Fernet symmetric encryption) and transmitted only over TLS;
- keys are used solely to operate the Autopilot service on your behalf;
- keys are never sold, shared with third parties, or logged in plaintext;
- you may revoke the keys at any time, in the app or directly with Alpaca;
- keys are deleted when you delete your account or cancel Autopilot.
8. Hypothetical and backtested performance
Any performance figures shown in the app or on this website are backtested, hypothetical results. They are labeled with their methodology and period (currently: 2018-01-02 to 2026-07-31, $2,000 starting capital, net of estimated costs). Backtested performance does not represent actual trading, does not account for all market factors, and is not a promise or projection of returns. Past performance, actual or simulated, does not guarantee future results. Investing involves risk, including the possible loss of principal. Strategies shown in the app have experienced substantial drawdowns in backtesting (for example, a maximum drawdown of −43.7% in the Nasdaq 100 backtest) and may do so again.
9. Disclaimers and limitation of liability
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
To the maximum extent permitted by law, we are not liable for: trading or investment losses; errors, delays, or interruptions in market data; outages or failures of the Service, of Alpaca, of app stores, or of data vendors; unauthorized access to your accounts caused by factors outside our reasonable control; or any indirect, incidental, special, consequential, or punitive damages.
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is capped at the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
10. Disputes, arbitration and governing law
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, and not in court, except that either party may bring an individual claim in small-claims court where eligible. You and GexStrike LLC each waive the right to a jury trial and to participate in a class action or class-wide arbitration.
These Terms are governed by the laws of [State of formation — to be confirmed], without regard to conflict-of-laws rules, and the seat and venue of any arbitration will be in that state.
11. Termination
You may stop using the Service at any time by cancelling any subscriptions and deleting your account. We may suspend or terminate your access to the Service at any time for breach of these Terms, fraud, abuse, or where required by law. On termination: Autopilot rebalances stop, future billing stops, and provisions that by their nature should survive — including Sections 5, 8, 9 and 10 — survive termination.
12. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you in the app and/or by email before they take effect. Continued use of the Service after the effective date of updated Terms constitutes acceptance.
13. Miscellaneous
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
- Severability. If any provision is found unenforceable, the rest remain in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
